THESE TERMS INCLUDE A CLASS ACTION WAIVER AND AN ARBITRATION PROVISION THAT GOVERNS ANY DISPUTES BETWEEN YOU AND SPEAKOS.

Access to SpeakOS is currently invite-only. To be eligible to use the Services, you must (a) be at least 18 years of age; (b) reside or operate a business in a jurisdiction where we offer our Services and where use of our Services is lawful; and (c) represent that you have read, understood, and agree to be bound by these Terms. If you are using or accessing the Services on behalf of a company or other entity ("Entity"), you represent and warrant that you are authorized to bind that Entity to these Terms.
By accepting an invite, creating an Account, or otherwise accessing or using the Services, you agree to be unconditionally bound by these Terms. ACCEPTANCE OF THESE TERMS IS REQUIRED FOR USE OF THE SERVICES.
a. Our Platform. SpeakOS is a platform (the "Services") that lets you build, configure, and run AI voice agents that answer and screen calls, book appointments, and take messages for your business, using compute and telephony you connect through your own third-party provider accounts. The Services include (i) a dashboard and agent-configuration tools (collectively, the "Application"); and (ii) speakos.ai and other websites or online channels we own or operate (collectively, the "Site").
b. Bring Your Own Key (BYOK). SpeakOS is built around a "bring your own key" model: you supply your own API credentials for third-party AI, voice, and telephony providers (for example, Vapi or a model provider accessed through OpenRouter), and those providers bill you directly, at their own rates, for compute and call minutes. Your provider keys are encrypted at rest (AES-256) and decrypted server-side only at the moment of a call — they are never displayed back to us or logged in plaintext. You may revoke a connected key at any time from your own provider's dashboard. For Services delivered under the BYOK model, SpeakOS does not add a per-minute markup on your provider's usage, unless expressly stated otherwise for a specific offering.
c. Registration. To become a Subscriber, you must accept an invite, register with SpeakOS, and create an account on the Services (your "Account"). You represent and warrant that you will maintain the accuracy of your Account information, will not jeopardize the security of your Account, and will notify us promptly of any unauthorized access. SpeakOS reserves the right to disable your login credentials at any time in our sole discretion, including if you have violated these Terms.
d. Google Registration. Where the Services connect to Google Calendar or other Google APIs on your behalf, SpeakOS's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
e. Telephone Numbers. You may forward your existing business number to the Services or be assigned a number through your connected telephony provider. SpeakOS reserves the right to release or reassign any number not ported back within three months after termination of the applicable Subscription.
f. Recordings, Transcripts & Data Minimization. Where your connected voice provider generates call recordings, that audio is stored in your own third-party provider account (for example, your Vapi account), under that provider's own retention settings — SpeakOS does not separately store or host call audio. The Services may store call metadata, plain-English summaries, and transcripts as needed to power dashboard features you use, consistent with our practice of storing only what a feature needs. You are solely responsible for configuring caller-notice and consent practices in compliance with applicable call-recording law.
g. AI Features. The Services include features powered by artificial intelligence, machine learning, or similar technologies made available through your connected providers ("AI Features"). Your Caller interacts with your configured agent through their spoken conversation ("Inputs") and receives outputs generated by the underlying AI models based on those Inputs ("Outputs"). SpeakOS makes no representation as to the legality, accuracy, or completeness of any Output, and it is your responsibility to evaluate Outputs before relying on them. You must not use Outputs for any purpose that could have a legal or material impact on a person, and you must ensure your agent is not made available to Callers under the age of 16.
h. Agencies & Sub-Accounts. If you use the Services to build, manage, or white-label voice agents on behalf of your own clients ("Sub-Accounts"), you are solely responsible for your agreements, billing, support, and privacy practices with those Sub-Account clients. SpeakOS is not a party to any agreement between you and your Sub-Account clients.
a. Access. Access to the platform is invite-only and, as described on the Site at the time of your invitation, may be included with membership at no separate platform fee. Compute, model, and telephony costs are billed to you directly by your connected third-party provider(s) under the BYOK model described in Section 2(b), not by SpeakOS. SpeakOS reserves the right to change the terms of access, introduce paid tiers, or adjust any SpeakOS-billed fees at any time, with reasonable notice to existing Subscribers.
b. Agency Markup Billing. If you use SpeakOS's agency tooling to bill your own Sub-Account clients (including any markup you choose to apply), those charges are between you and your clients. SpeakOS is not responsible for collecting, processing, or guaranteeing payment of any amounts you bill to your Sub-Account clients.
c. Taxes. You are responsible for any sales, use, or similar taxes applicable to your use of the Services, other than taxes on SpeakOS's own net income.
You acknowledge that you have read and understand our Privacy Policy, which governs our collection, use, and disclosure of information, including our data-minimization practices around call recordings and metadata.
a. The Services. Unless otherwise expressly indicated, the Services (including the Application, the Site, and Site content) and all data, images, logos, source code, and other materials contained in the Services (collectively, the "SpeakOS Property") are copyrights, trademarks, trade dress, or other intellectual property owned or controlled by SkyHighMedia. SpeakOS grants you a license to use the SpeakOS Property available under your access level, as permitted by these Terms. This license is not sold to you, and terminates automatically if you breach these Terms.
b. Open-Source Components. Certain components of the Services, such as our key-vault module, are published as open-source software under their own applicable licenses. Use of those components outside the Services is governed by the license under which they are published, not by these Terms.
c. Trademarks. "SpeakOS" and associated logos and trade dress are the intellectual property of SkyHighMedia and may not be used without prior written permission. Third-party trademarks used in our Services are the property of their respective owners.
d. Feedback. Any feedback, suggestions, or ideas you provide about the Services may be used by SpeakOS without compensation or restriction.
a. Your Data. As between you and SpeakOS, the configuration, business information, CRM data, and call metadata/transcripts you provide or generate through the Services ("Your Data") belongs to you. SpeakOS does not claim ownership of Your Data.
b. Limited License. You grant SpeakOS a limited, non-exclusive right to use Your Data solely (i) to provide you the Services, such as displaying transcripts and summaries in your dashboard; (ii) for our own internal purposes such as debugging, security, fraud prevention, and improving non-AI platform features; and (iii) to enforce these Terms. SpeakOS does not use Your Data to train AI models, and call audio is not retained by SpeakOS — any model training or fine-tuning happens, if at all, on your own connected provider's infrastructure, subject to that provider's own terms. You may end this license for specific pieces of Your Data by deleting them from the Services.
c. Prohibited Data. The Services are not designed for processing sensitive categories of data such as government identification numbers, full financial account numbers, or ITAR-controlled data ("Prohibited Data"). You agree not to submit Prohibited Data to the Services.
You may not use the Services (i) in violation of any applicable law, including the U.S. CAN-SPAM Act, TCPA, or COPPA; (ii) to process health information in violation of HIPAA, unless separately agreed in writing; (iii) to promote illegal goods or services; (iv) to defraud, deceive, or mislead anyone; or (v) to transmit content that is defamatory, obscene, or promotes harassment, discrimination, or violence. You may not reverse engineer, resell outside the terms of your Sub-Account arrangement, or create derivative works of the Services without our written permission.
The Services are designed to integrate with third-party providers of your choosing, such as Vapi, OpenRouter, Google Calendar, Cal.com, Twilio, and Zapier ("Third-Party Services"). You are solely responsible for your relationship with any Third-Party Services, including their own terms, pricing, and privacy practices. SpeakOS does not endorse and is not responsible for the behavior, availability, or pricing of any Third-Party Services. SpeakOS will use commercially reasonable efforts to maintain availability of the Services, but the Services may be unavailable at times due to scheduled maintenance, outages, or the unavailability of a connected Third-Party Service.
You are strictly prohibited from attempting to breach or test the security of the Services, access data not intended for you, or interfere with the proper working of the Services through any device, script, or automated tool not provided by us. Provider keys you connect under the BYOK model are encrypted at rest and decrypted server-side only at the moment of use, as described in Section 2(b).
YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. SPEAKOS MAKES NO EXPRESS, IMPLIED, OR STATUTORY WARRANTIES REGARDING THE AVAILABILITY, QUALITY, RELIABILITY, OR ACCURACY OF THE SERVICES OR OF ANY CONNECTED THIRD-PARTY SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEAKOS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICES OR ANY CONNECTED THIRD-PARTY SERVICE. IN NO EVENT WILL SPEAKOS'S TOTAL LIABILITY TO YOU EXCEED THE FEES YOU PAID DIRECTLY TO SPEAKOS (EXCLUDING AMOUNTS BILLED BY YOUR THIRD-PARTY PROVIDERS UNDER THE BYOK MODEL) IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
You agree to defend, indemnify, and hold SpeakOS, SkyHighMedia, and our respective officers, employees, and agents harmless from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of (i) your use of the Services in violation of these Terms or applicable law; (ii) Your Data; (iii) your relationship with your Sub-Account clients; or (iv) your violation of any third party's rights, including laws governing telemarketing or messaging.
You may cancel your Subscription at any time through your Account. SpeakOS may suspend or terminate your access if we determine, in our sole discretion, that you have breached these Terms or engaged in fraudulent or illegal activity. Upon cancellation, you may revoke your connected provider keys immediately, and you will have 30 days to export Your Data before it is permanently deleted from our systems.
PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS A CLASS ACTION WAIVER AND REQUIRES YOU TO ARBITRATE CERTAIN DISPUTES.
a. Informal Dispute Resolution. Before filing a claim against SpeakOS, you agree to try to resolve the dispute informally by contacting us at stephen@skyhighmedia.com. If the dispute is not resolved within 30 days, either party may bring a formal proceeding.
b. Arbitration Agreement. You and SpeakOS agree to resolve any dispute arising out of or relating to these Terms through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, held in Wilmington, Delaware, or any other location we agree to. Either party may bring qualifying claims in small claims court in New Castle County, Delaware, or where you live or work, and either party may seek injunctive relief in court to stop unauthorized use of the Services or infringement of intellectual property rights without first arbitrating.
c. Class Action Waiver. You may only resolve disputes with SpeakOS on an individual basis and may not bring a claim as a plaintiff or class member in any class, consolidated, or representative action.
d. Governing Law. These Terms and any dispute arising from them are governed by the laws of the State of Delaware and the Federal Arbitration Act, without regard to conflict-of-laws principles. If the agreement to arbitrate is found not to apply, any judicial proceeding will be brought in the federal or state courts located in New Castle County, Delaware, and both parties waive the right to a jury trial. Any claim must be filed within one year after it arose, or it is barred.
a. Relationship of Parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, or agency relationship.
b. Geographic Restrictions. SpeakOS is owned and operated in the United States. The Services are currently intended for use by Subscribers operating in the United States and Canada.
c. Responsibility for Legal Compliance. You agree to comply with all applicable laws relevant to your use of the Services, including privacy, telemarketing, and consumer protection laws. The Services do not include professional or legal compliance advice, and SpeakOS does not warrant that any default setting will satisfy your legal obligations.
d. Entire Agreement. The Services are owned and offered to you by SkyHighMedia dba SpeakOS. These Terms and any agreements incorporated by reference constitute the entire agreement between SpeakOS and you regarding the Services.
e. Assignment. You may not assign these Terms without our prior written consent. SpeakOS may freely assign these Terms.
f. Amendments. SpeakOS reserves the right to revise these Terms by updating this page. Your continued use of the Services following the posting of changes constitutes your acceptance of those changes.
g. Notices. Any notices under these Terms will be given to SpeakOS at stephen@skyhighmedia.com and to you via the email address on your Account.
You agree to be unconditionally bound by these Terms of Service by accessing or using the Services in any manner.
